Definitions:

• We, Us, Ours, Affiliates: refer to Bhimpe Solutions Private Limited and its associates, Bhimpe.
• You, User, Merchant: refer to registered/non-registered individuals, companies, or sellers engaged in providing services/goods.
• End users, Customers: refer to individuals, groups, entities, or corporates who avail services/goods directly from the merchant or business partners.
• Website: refers to www.bhimpe.com.
• Mobile application: refers to 'Bhimpe'.
• Services: denotes the array of services provided by Bhimpe and its affiliates.

Terms & Conditions:

• The Terms & Conditions may be revised, updated, or changed by Bhimpe and its affiliates at our sole discretion at any time without prior intimation to the user. Latest Terms & Conditions will be posted on our website.
• The website(s) and services are intended solely for individuals 18 years or older. By using them, you represent that you are legally competent to enter into contracts.

Terms and Conditions for User Account Sign-Up/Registration:

• You must be 18 years or older to use the app.
• You are responsible for providing accurate information and updating KYC and contact details.
• Device and phone number used during registration will be considered your registered device and number.
• You are solely responsible for maintaining the confidentiality of account credentials and other vital information.
• Secure your account using a complex password and ensure to log out when away from your device.
• We reserve the right to terminate or suspend your account without prior notice for violations.

Terms of Service, Fees, and Payments:

• Bhimpe acts as an intermediary between the User and Merchant to provide the payment platform. Applicable fees (Platform maintenance fee, Convenience fee, Setup fee) will be displayed upfront.
• Users agree to pay all fees associated with the services as outlined on Bhimpe, which may change from time to time.
• Bhimpe is not responsible for disputes, service lapses, damaged goods, or warranties; users must resolve directly with the Merchant.
• Refunds and erroneous transactions will not be handled directly by Bhimpe; the platform acts as an intermediary if requested.

Banned Merchant Categories:

You agree not to involve your business in the following categories. Violations may result in account termination and withheld settlements:

• Adult goods and services including pornography, escort services
• Alcoholic beverages
• Drugs and drug paraphernalia
• Weapons and pyrotechnic devices
• Cryptocurrency trading
• Offensive goods, crime-related materials, fraudulent or illegal activities
• And other restricted categories as per bank and regulatory policies

Third-party Offers & Services:

• Bhimpe may provide third-party services/offers. Bhimpe acts only as a reseller/intermediary and holds no liability for actions by third parties.
• Users are responsible for agreeing to the third-party terms and conditions when participating in offers.

Refunds & Cancellations:

• Bhimpe and affiliates do not provide services directly and do not have a refund/cancellation policy.
• If requested, Bhimpe can act as an intermediary to contact the respective business partner.
• UPI & QR transaction disputes will follow bank policies; merchants must submit relevant documents.

Termination:

• Bhimpe may terminate your account at its discretion for suspicious or fraudulent activities. Users must uninstall the app and delete any service copies upon termination.

Indemnification:

• Users shall indemnify and hold harmless Bhimpe Entities and affiliates from any claims, damages, or legal actions arising from violation of these Terms or applicable laws.

Force Majeure:

• Events beyond reasonable control (acts of God, terrorism, cyber incidents) that prevent Bhimpe from fulfilling obligations are considered Force Majeure.

Governing Law & Jurisdiction:

These Terms of Use will be governed by the laws of India. Any legal proceedings shall be brought exclusively in the competent courts/tribunals having jurisdiction in Chennai, Tamil Nadu, India.
